Terms of Use

1. About these Terms

These Terms of Use ("Terms") form a binding agreement between Labhyansh Infotech Pvt Ltd ("Labhyansh", "we", "us", "our") and the person or entity ("you", "your", "Customer") that signs up for or uses the BizFlow360 service.

The Terms consist of these General Terms together with any Service-Specific Terms (for example, terms governing the Shopify connector or other paid add-ons). In the event of a conflict between this document and a Service-Specific Term, the Service-Specific Term prevails for that service.

2. Acceptance of the Terms

You must be of legal age to form a binding contract in India (18 years or older). If you are accepting these Terms on behalf of an organisation, you confirm that you have the authority to do so and that your organisation will be bound by them.

If you do not agree to these Terms, do not sign up for or use any part of the service.

3. Description of the service

BizFlow360 is a subscription-based, cloud-hosted business-management platform that includes — depending on the subscription pack — modules for sales, purchases, inventory, production, accounting, dispatch, reporting, document generation (invoices, POs, GRNs, dispatch notes), email-based notifications, and integrations with third-party services such as Shopify.

The features and limits available to you depend on the subscription pack you have selected. We may add, change or remove features from time to time; material reductions to a paid pack will be communicated in advance and will not reduce features you have already paid for during the current billing cycle.

4. Subscription, trial and beta features

New tenants typically receive a one-month free trial on activation. During the trial you have the same feature access as a paid subscriber on the chosen pack.

Some features may be marked "Beta" or "Preview". Beta features are provided on a best-effort basis and may be modified, withdrawn or made into a paid feature at any time, with or without notice.

5. Modification of these Terms

We may update these Terms from time to time. Material changes will be communicated to you by email at the billing address on file and posted on this page at least 30 days before they take effect. Non-material changes (clarifications, typo fixes, address updates) take effect immediately.

Continued use of the service after a change becomes effective constitutes acceptance of the revised Terms. If you do not accept a change, you must stop using the service before the effective date and may request closure of your account.

6. Sign-up obligations

When you create an account you agree to provide true, accurate, current and complete information about yourself and your organisation, and to keep that information updated. We may suspend or terminate any account that we reasonably believe has been registered with false information.

7. Organisation accounts and administrators

A BizFlow360 tenant is owned by an organisation. The administrator(s) configure the service, invite users, assign roles, manage entitlements, billing and approvals. The organisation remains responsible for the actions of its administrators and users, for the security of their credentials, and for compliance with these Terms.

8. Privacy

The personal information you provide to BizFlow360 is governed by our Privacy Policy, which forms part of these Terms by reference.

9. Communications

By signing up you consent to receive service announcements, billing notices, security alerts and administrative messages from us. These are an integral part of the service and you cannot opt out of them while your account is active. Marketing newsletters, where offered, are opt-out at any time via the unsubscribe link.

10. Complaints and grievance redressal

If a third party complains to us about content uploaded or actions taken through your account, we may forward the complaint to you. You must respond to us within 10 days, failing which we may disclose your contact details to the complainant to allow them to take direct action.

11. Fees and payment

Subscription fees are billed per the pack and billing cycle you select (monthly, quarterly, half-yearly or annual). Fees are payable in advance for each billing cycle. Applicable taxes (including GST) are charged additionally where required.

Price changes apply only from the start of your next billing cycle — your current cycle will be honoured at the price you agreed to at sign-up or renewal.

12. Restrictions on use

You agree that you will not, and will not permit any user of your account to:

• resell, sub-license, white-label or otherwise transfer the service to any third party without our written consent;
• upload, store or process the personal information of any third party without that third party's lawful consent, or in violation of any applicable data-protection law;
• upload material that infringes intellectual-property rights, is defamatory, obscene, harassing, threatening or otherwise unlawful;
• attempt to gain unauthorised access to the service, other tenants' data, or our systems;
• probe, scan or test the vulnerability of the service except through our published responsible-disclosure channel;
• send spam, phishing or other unsolicited bulk messages from or through the service;
• introduce viruses, worms or other malicious code into the service;
• use the service to engage in any activity that is illegal under Indian law or the law of any jurisdiction in which you operate;
• reverse-engineer, decompile or attempt to derive the source code of the service, except to the extent expressly permitted by applicable law.

13. Spamming and illegal activities

You agree not to use the service for any unlawful purpose or for the transmission of material that is unlawful, defamatory, insulting, harassing, libelous, invasive of another's privacy or otherwise objectionable. Repeated or material violations will result in immediate suspension of your account.

14. Inactive accounts

If your subscription lapses and is not renewed, your account moves into a grace period (typically 7 days) during which payment can be made to restore service. After grace, the account is suspended for 30 days. Accounts unpaid beyond 30 days may be terminated and the data associated with them deleted, subject to any legal retention requirements.

15. Data ownership

You own the data you upload, create or store in your BizFlow360 tenant. You grant us a limited, non-exclusive licence to host, process, transmit and display that data solely as needed to provide and support the service for you.

On termination of the agreement, we will provide a reasonable export window during which you may retrieve your data (for example, via the in-app Excel exports and PDF downloads). After the export window we are entitled to delete your data.

16. User-generated content

You are solely responsible for the content uploaded to, created within or transmitted from your tenant, and for the consequences of doing so. We do not pre-screen content and have no obligation to monitor user data, but we reserve the right to remove content that we reasonably believe violates these Terms or applicable law.

17. Sample data and templates

Any sample data, demo tenants, template files or demonstration content we make available are for evaluation only. The information in them is random and is not warranted to be accurate, complete or fit for any particular purpose.

18. Trademarks

"BizFlow360", "Labhyansh", "Labhyansh Infotech" and all related logos are trademarks of Labhyansh Infotech Pvt Ltd. You may not use them without our prior written permission, except for the limited purpose of identifying that you use the service.

19. Disclaimer of warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LABHYANSH INFOTECH PVT LTD EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF DATA, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

You are solely responsible for verifying the accuracy of every invoice, return, GST filing, financial report and other output generated through the service before relying on it for statutory or commercial purposes.

20. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to these Terms or the service — whether in contract, tort, statute or otherwise — is limited to the fees you have actually paid to us for the service in the twelve (12) months immediately preceding the event giving rise to the claim.

In no event shall we be liable for any indirect, incidental, special, consequential or punitive damages, lost profits, lost revenue, lost data, business interruption or cost of substitute services, even if we have been advised of the possibility of such damages.

21. Indemnification

You agree to indemnify, defend and hold harmless Labhyansh Infotech Pvt Ltd, its directors, employees and affiliates from any claim, demand, loss, liability or expense (including reasonable legal fees) arising out of (a) your breach of these Terms, (b) your violation of any law or third-party right, or (c) any content uploaded, processed or transmitted through your account.

22. Suspension and termination

We may suspend or terminate your access to the service immediately, with or without notice, if (a) you breach these Terms; (b) we reasonably believe your account is being used for illegal or fraudulent activity; (c) your subscription has lapsed beyond the grace and suspension windows; or (d) we are required to do so by law or by a competent authority.

You may terminate your subscription at any time as described in the Cancellation & Refund Policy.

On termination, your right to use the service ceases. After the export window we are entitled to delete your data; sections that by their nature survive termination (including liability, indemnity, intellectual property and dispute resolution) will continue to apply.

23. Force majeure

Neither party is liable for failure or delay in performance caused by events outside its reasonable control, including natural disasters, acts of government, war, civil unrest, network or infrastructure outages caused by upstream providers, and pandemics.

24. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any dispute, controversy or claim arising out of or relating to these Terms or the service shall be subject to the exclusive jurisdiction of the courts at New Delhi, India.

25. Entire agreement

These Terms, together with the Privacy Policy, the Cancellation & Refund Policy, the Disclaimer, and any Service-Specific Terms you accept at sign-up, constitute the entire agreement between you and Labhyansh in respect of the service, and supersede any prior agreements or understandings.
